How and why does a company get a veto?

Most W3C members are companies: https://www.w3.org/Consortium/Member/List. Each member gets a vote.

(Disclosure: I work for Google, speaking only for myself)

And because most are companies it is dying a slow death.

I understand they get a vote.

I was asking why do they get a veto?

The W3C operates on consensus, which means if any member is opposed a proposal does not go forward.
