Uh, PVTL's market cap is $3.73B. Isn't that one hell of a discount? Wouldn't shareholders sue? Can someone explain this please? I feel dumb.

PVTL's public shareholders will be getting a premium price per share at $15. Michael Dell holds the vast majority of shares and will instead be getting VMware stock for Pivotal stock.
